Payuung Affiliate Program Terms and Conditions
Welcome to the Payuung Affiliate Program page! This program provides individuals with the opportunity to join as Payuung Affiliates, a party that recommends various products available on the Payuung Personal Application. Before joining the Payuung Affiliate Program, please ensure you have carefully read the Terms and Conditions on this page (“Terms and Conditions”).
By joining the Payuung Affiliate Program, you are deemed to have read and agree to these Terms and Conditions, which supplement the Payuung Personal Application Terms and Conditions, the Payuung Personal Application Privacy Policy, and other Payuung policies.(“Payuung Privacy Policy”). Terms not defined in these Terms and Conditions have the meanings set forth in the applicable Payuung Privacy Policy.
- Definitions
- 1.1Affiliate is an individual registered with the Payuung Affiliate Program who recommends and markets the Products.
- 1.2Affiliate Media is all third-party advertising media owned and controlled by the registered Affiliate and used to recommend and market Products.
- 1.3Products are certain facilities including insurance products, financing products, and other digital products offered and marketed by the Affiliate in accordance with the Payuung Affiliate Program.
- 1.4Commission is a certain nominal amount or percentage determined by Payuung for each successful Product transaction sold.
- 1.5Affiliate Code is a unique code given to Affiliates to recommend Products and/or invite new Users.
- 1.6Qualified Lead is a Personal Payuung User who is registered and/or purchases a Product using the Affiliate Code.
- Participation Requirements
- 2.1The Payuung Affiliate Program is open to individuals who have registered as Users. If you are not yet registered as a User, you can register first before participating in this program.
- 2.2Payuung Users guarantee that all personal identity data provided in connection with the Payuung Affiliate Program is true, complete, and accountable.
- 2.3Payuung reserves the right to verify and make decisions regarding applications for participation in the Payuung Affiliate Program.
- Affiliate Commission Terms
- 3.1Payuung reserves the right to determine the amount of Commission for each Product successfully sold by an Affiliate. Detailed information regarding the Affiliate Commission will be found in the Application menu and/or in a separate document from these Terms and Conditions.
- 3.2 Affiliates understand and agree that Commissions are only awarded for transactions deemed valid by Payuung, with the following conditions:
- Not a transaction conducted by, for, or on behalf of the Affiliate;
- The transaction is conducted by a User using the Affiliate Code or Qualified Lead;
- The transaction conducted by the Qualified Lead has been completed ("Successful Transaction"). For financing products, the transaction is considered complete once the application is approved and the funds are disbursed; for insurance products, the transaction is considered complete once the premium is successfully paid by the User; and for digital products, the transaction is considered complete once access is successfully obtained.
- Transactions conducted by Qualified Leads are not the result of any fraudulent actions, abuse, or violation of these Terms and Conditions.
- Affiliate Responsibilities
- 4.1Affiliates are independent contractors and do not have any employment, agency, or legal representation relationship with Payuung.
- 4.2Affiliates are required to ensure that any promotional content or materials published through Affiliate Media do not contain claims that are false, exaggerated, or misleading, or inconsistent with official information regarding the Products.
- 4.3Affiliates are required to ensure that any promotional content or materials comply with Payuung's Policies. Privacy, legal provisions, and advertising ethics applicable in the Republic of Indonesia.
- 4.4The Affiliate is fully responsible for any content or promotional material displayed through the Affiliate Media. Payuung is not responsible for and is exempt from any form of summons, lawsuits, demands, compensation, and claims from any party arising from such content or promotional material.
- Payuung's Responsibilities
- 5.1Payuung is responsible for operating and maintaining The application used in the implementation of the Payuung Affiliate Program is accessible and functions properly.
- 5.2Payuung is responsible for providing official information regarding Products, including descriptions, prices, and applicable promotions within the Application, which may be used by Affiliates in accordance with these Terms and Conditions.
- 5.3Payuung reserves the right to record, track, and verify every transaction generated through the Affiliate Code for the purposes of calculating Affiliate Commissions.
- 5.4Payuung is responsible for making Affiliate Commission payments to Affiliates in accordance with Payuung's applicable Affiliate Commission Policy.
- 5.5 Payuung reserves the right to take action, with or without prior notice, against Affiliates suspected of violating, cheating, or fraud, including but not limited to:
- Requesting the removal of content or promotional materials on Affiliate Media;
- Withholding Affiliate Commissions;
- Cancellation of transactions using the Affiliate Code;
- Account suspension;
- Termination of participation in the Payuung Affiliate Program.
- 5.6Payuung reserves the right to make any changes, updates, temporary suspensions, or permanent terminations to the Payuung Affiliate Program, including but not limited to program policies, payment mechanisms, and promotional materials. Any such changes will be notified to Affiliates through official communication channels designated by Payuung, within a reasonable time before the changes take effect.
- Term and Termination
- 6.1The term of the Payuung Affiliate Program begins on the date Payuung approves the Affiliate's application to join the Payuung Affiliate Program, and continues until either party terminates in accordance with the provisions of this Article.
- 6.2The Affiliate has the right to terminate its participation in the Payuung Affiliate Program at any time by providing written notice to Payuung.
- 6.3 Payuung has the right to terminate an Affiliate's participation in the Payuung Affiliate Program at any time under the following conditions:
- The Affiliate violates these Terms and Conditions;
- The Affiliate uses promotional materials that contain false or misleading claims, violate advertising ethics, or violate the rights of third parties;
- Payuung observes any indication of fraud, manipulation, or deception in transactions using the Affiliate Code;
- The Affiliate commits an act that violates applicable laws in the Republic of Indonesia;
- The Affiliate commits an act that could harm the good name, reputation, or business interests of Payuung;
- The Affiliate is declared inactive in the Payuung Affiliate Program for a certain period as determined in the Payuung Privacy Policy.
- 6.4Upon termination, the Affiliate is no longer entitled to any Affiliate Commissions from any transactions made through their Affiliate Code. Affiliate CommissionsAny fees that are already the Affiliate's right before termination will still be paid according to applicable provisions.
- Representations and Warranties
- 7.1This Agreement constitutes a valid and binding legal obligation for both parties. The parties agree to execute these Terms and Conditions in good faith and with full responsibility.
- 7.2The Affiliate represents that he/she is an individual legally competent to enter into these Terms and Conditions.
- 7.3As long as the Affiliate is registered in the Payuung Affiliate Program, Payuung grants the Affiliate a limited, non-exclusive, non-transferable, and revocable license to the Affiliate, solely for the purpose of promoting the Products through the Affiliate's Media.
- 7.4The Affiliate is prohibited from altering, modifying, or creating derivative works of any promotional materials or intellectual property owned by Payuung without the written consent of Payuung.
- 7.5Unless otherwise stated in these Terms and Conditions, the Affiliate does not have any rights to Payuung's intellectual property.
- Limitation of Liability
- 8.1Payuung is not responsible for any losses, whether direct or indirect, arising from the Affiliate's participation in the Payuung Affiliate Program, including loss of revenue, profits, data, or business opportunities.
- 8.2Payuung is not responsible for system failures, technical disruptions, delays, or tracking errors caused by factors beyond Payuung's reasonable control, including internet disruptions, natural disasters, or force majeure.
- 8.3Payuung is not responsible for any content or promotional materials created and published by Affiliates beyond Payuung's control.
- 8.4Payuung is not obligated to process or pay commissions for transactions proven to involve fraud, violations of law, or violations of these Terms and Conditions.
- Other
- 9.1These Terms and Conditions are governed by and interpreted under the laws of the Republic of Indonesia.
- 9.2Payuung reserves the right to make changes, updates, or adjustments to these Terms and Conditions at any time. Any changes will be notified to Affiliates through Payuung's official communication channels. An Affiliate's continued participation after notification is deemed to be acceptance of such changes.
- 9.3If any provision of these Terms and Conditions is declared invalid, void, or unenforceable under applicable law, this will not affect its validity.and the legal force of other provisions.
- 9.4Any disputes arising in connection with these Terms and Conditions or the Payuung Affiliate Program will be resolved first through deliberation. If an agreement is not reached within a reasonable time, the dispute will be resolved through judicial proceedings under the jurisdiction of the South Jakarta District Court.
